License Terms
The terms below govern Buyer use of Traces licensed through ExpertMint. They apply to every License issued by the Platform, in addition to any enterprise master agreement signed by Buyer.
1. Definitions
“Trace” means a single recorded reasoning artifact — screen and voice (mandatory), webcam (optional) — with its transcript and signed provenance manifest, as described in the Manifest schema published at /.well-known/manifest-keys.json.
“Standard License” means the non-exclusive, non-transferable, training-only grant defined in §3.
“Exclusive License” means the time-bound exclusivity grant defined in §4.
“Buyer” means the legal entity identified in the order metadata at checkout.
“Platform” means ExpertMint operated by Draft Labs (the entity referenced as <PLATFORM_LEGAL_ENTITY> in the production agreement).
2. License Grant
Subject to payment of the fees set out in the order, Platform grants Buyer the License selected at checkout for each Trace identified in the corresponding Manifest. The License attaches at issuance — when the Manifest is signed with the active Ed25519 key — and travels with every copy of the Trace that retains its Manifest binding.
3. Standard License (default)
Permitted uses: model training; model evaluation; internal research; reproduction of Trace content within model weights and derived artifacts.
Restrictions: no resale of the Trace bytes; no public redistribution; no removal of the Manifest binding from copies under your control; attribution to the Manifest provenance is required in any subsequent legal review (deposition, regulatory filing, audit).
Re-licensing: Standard Licenses are non-exclusive — Platform may issue further Standard Licenses for the same Trace to other Buyers. Each subsequent license carries the same Manifest binding.
4. Exclusive License
An Exclusive License grants Buyer the sole right to license the Trace from Platform for the exclusivity term selected (3 months or 12 months). During the exclusivity term Platform will not issue additional licenses for the same Trace.
The Exclusive License otherwise inherits all permitted uses and restrictions of the Standard License. After the exclusivity term ends the Trace returns to the Standard License pool and Buyer’s rights revert to a Standard License for the remainder of Buyer’s use.
5. Provenance & Verification
Every Trace ships with a JSON Manifest canonicalized per RFC 8785 (JCS) and signed with Platform’s Ed25519 key. The active public key is published at https://expertmint.draftlabs.org/.well-known/manifest-keys.json with quarterly rotation; superseded keys remain valid for verification.
Buyer is entitled — and on legal review encouraged — to verify the signature using the published public key and the canonical bytes of the Manifest. Platform will reissue a fresh Manifest free of charge if signature verification fails for reasons attributable to Platform.
Supplier identity is pseudonymized in the Manifest. Platform will disclose Supplier’s real identity in response to a properly-served subpoena, regulatory inquiry, or court order, after legal review and notice to Supplier where lawful.
6. Supplier IP & Attestation
Each Trace is created by a verified Supplier (Tier T1, T2, or T3 as disclosed on the listing) who has affirmatively attested that the Trace contains no employer codebase, no NDA-covered material, no proprietary trade secrets, and no third-party expert content. Platform’s prompt-source flagger reviews every Trace before publication.
If a third party asserts that a licensed Trace infringes their rights, Platform will (a) notify Buyer within 24 hours of receiving notice, (b) suspend further licensing of the Trace, and (c) at Platform’s option either replace the Trace with an equivalent or refund the proportional License fee. Buyer’s exclusive remedy is limited to fees paid for the affected Trace.
7. Refunds & Quality
Buyer has 7 days post-delivery to flag any Trace as not meeting the quality bar disclosed in the Manifest grading section. If the rejection rate exceeds 10% in a single delivery, Platform will issue a refund proposal within 5 business days of the flag, subject to Platform’s review of the flagged Traces.
Refunds are issued via the original payment method. Already-paid Supplier earnings affected by a refund are clawed back per the Supplier Agreement; Buyer is not party to those clawbacks.
8. Term & Termination
The License is perpetual unless terminated under §9 (Takedown). Termination of Platform services does not revoke Buyer’s right to use already-delivered Traces under the Manifest binding.
9. Takedown
Platform may delist a Trace following a valid DMCA takedown, supplier fraud determination, or regulatory order. Already-delivered copies remain licensed under the Manifest binding; Platform will notify license-holders within 7 days of takedown and at Platform’s option offer a replacement Trace at no charge.
10. Liability
Platform’s aggregate liability under this License is capped at the License fees paid for the affected Trace. Platform is not liable for indirect, consequential, or special damages.
Indemnity language and additional warranties applicable to enterprise contracts are set out in the Master License Agreement available on request from sales@expertmint.draftlabs.org.
11. Governing Law
This License is governed by the laws of the State of Delaware. Disputes are resolved by binding arbitration administered by JAMS in San Francisco, California, applying Delaware substantive law.
